Institutional Internship & Training Memorandum of Understanding
Master Draft Framework • InfoSmashers Ecosystem
1. Parties
This Memorandum of Understanding (MOU) is entered into between:
INFOSMASHERS, Faisalabad, Punjab, Pakistan, acting through its Authorized Representative, hereinafter referred to as "InfoSmashers";
AND
[Host Institution Name], having its address at [Host Institution Address], hereinafter referred to as the "Host Institution".
InfoSmashers and the Host Institution are collectively referred to as the "Parties" and individually as a "Party".
2. Definitions
In this MOU, unless the context otherwise requires:
- "Trainee" means a student or recent graduate nominated by InfoSmashers and accepted by the Host Institution for an educational placement under this MOU.
- "Placement" means the specific internship, rotation, or training arrangement undertaken by a Trainee at the Host Institution.
- "Focal Person" means the individual nominated by each Party under Clause 18 to coordinate communication and administration of Placements.
- "Confidential Information" means patient records, prescriptions, laboratory results, business records, passwords, and any other non-public information encountered during a Placement.
- "Educational Trainee Waiver" means the waiver and undertaking referred to in Clause 6 and set out in Annexure B.
3. Purpose
The purpose of this MOU is to establish a practical framework for structured educational internships, observational training, and supervised professional exposure for eligible trainees through mutually agreed placements at the Host Institution.
4. Scope of Collaboration
Subject to the Host Institution's capacity, policies, and applicable requirements, placements may include:
- Hospital and clinical pharmacy exposure.
- Community or retail pharmacy exposure.
- Diagnostic laboratory exposure.
- Pharmaceutical, quality assurance, quality control, or healthcare operations exposure.
- Any other educational area mutually agreed in writing.
The duration will normally be 8–12 weeks, or another period mutually agreed by the Parties for a specific program.
5. Responsibilities of InfoSmashers
- Coordinate eligible trainees and communicate placement requirements to the Host Institution.
- Provide or coordinate the agreed rotation plan, learning objectives, attendance/logbook format, and trainee information.
- Ensure that each trainee completes the required Educational Trainee Waiver and other agreed documentation before starting the placement.
- Coordinate schedules and routine communication between trainees and the Host Institution.
- Maintain appropriate placement and completion records and address trainee-related concerns with the Host Institution.
- Promote approved internship opportunities through relevant student and educational networks.
6. Responsibilities of the Host Institution
- Provide reasonable educational exposure within the departments, areas, or activities approved for the trainee.
- Assign an appropriate focal person or supervisor for the trainee's placement.
- Provide or communicate relevant orientation, institutional policies, SOPs, safety requirements, and conduct rules.
- Permit trainees to perform only activities appropriate to their educational level and expressly permitted by the Host Institution.
- Inform InfoSmashers of serious attendance, conduct, safety, confidentiality, or performance concerns without undue delay.
- Where agreed, complete a trainee evaluation and/or confirm successful completion of the placement.
7. Trainee Requirements and Educational Waiver
Before commencing a placement, each trainee must sign the applicable Educational Trainee Waiver and comply with the Host Institution's rules, SOPs, confidentiality requirements, safety procedures, attendance requirements, and lawful instructions.
The internship is an educational and supervised training arrangement. It does not, by itself, create an employment relationship between the trainee and the Host Institution or InfoSmashers. The trainee must not independently provide professional, clinical, diagnostic, dispensing, or other regulated services unless expressly permitted and appropriately supervised by the Host Institution.
The Educational Trainee Waiver will be maintained as a separate document and should be reviewed by InfoSmashers management before first use.
8. Rotation Plan, Supervision and Logbook
Each placement should have a written rotation plan identifying, as applicable, the duration, departments/areas, learning objectives, permitted activities, supervisor/focal person, attendance requirements, and evaluation method.
Trainees will maintain the agreed logbook or activity record. Completion of a placement will be subject to satisfactory attendance, conduct, and completion of the agreed educational requirements.
9. Confidentiality and Information Protection
The Parties and their personnel/trainees shall protect confidential information encountered during the placement. Trainees shall not copy, photograph, disclose, remove, or use patient records, prescriptions, laboratory results, business records, passwords, or other confidential information except as expressly permitted for legitimate educational purposes under the Host Institution's rules.
Any personal or institutional information shared for placement administration should be limited to what is reasonably necessary for that purpose.
The Parties shall handle Confidential Information, including any personal data of patients, staff, or Trainees, in accordance with applicable Pakistani law, including the Prevention of Electronic Crimes Act, 2016, and any other applicable data protection or health-information regulations. Neither Party shall transfer Confidential Information outside Pakistan without the prior written consent of the other Party, except as required by law.
10. Health, Safety and On-Site Conduct
The Host Institution's health, safety, infection-control, security, and professional-conduct requirements will apply to trainees while on site. The Host Institution may restrict or stop any activity that it considers unsafe, inappropriate, or inconsistent with its policies.
The Parties acknowledge that a trainee waiver is not intended to remove responsibilities that may arise under applicable law or institutional requirements. Placements are conducted on a waiver-only basis: no institutional insurance or risk-cover arrangement is provided or guaranteed by InfoSmashers unless separately and expressly agreed in writing.
11. Indemnification and Limitation of Liability
(a) Each Party shall be responsible for the acts and omissions of its own personnel. Trainees participate in Placements in their individual capacity as independent educational learners and are personally responsible for their own conduct, adherence to SOPs, and compliance with on-site directives as stipulated in the Educational Trainee Waiver (Annexure B). InfoSmashers' responsibility is limited to academic coordination, verification, and candidate nomination.
(b) The Host Institution shall not be liable for any loss, injury, or damage suffered by a Trainee arising from the Trainee's own negligence, misconduct, or failure to follow the Host Institution's safety rules and instructions.
(c) In place of institutional insurance, each Trainee shall sign the Educational Trainee Waiver (Annexure B) acknowledging and accepting personal responsibility for risks arising during the Placement, including accidental injury, to the extent permitted by law. InfoSmashers does not represent or warrant that any insurance or risk-cover policy is in place for Trainees unless separately and expressly agreed in writing.
(d) Except in cases of gross negligence or wilful misconduct, neither Party shall be liable to the other for indirect, incidental, or consequential losses arising from this MOU.
(e) Nothing in this Clause limits any liability that cannot be excluded or limited under applicable law.
12. Force Majeure
Neither Party shall be liable for any failure or delay in performing its obligations under this MOU where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, epidemics or pandemics, government actions or regulatory restrictions, strikes, or civil unrest. The affected Party shall notify the other Party promptly and both Parties shall cooperate in good faith to minimize disruption to any ongoing Placement.
13. Intellectual Property
(a) Any pre-existing intellectual property of either Party, including training materials, SOPs, and branding, remains the property of that Party.
(b) Any reports, case studies, logbooks, or research outputs prepared solely by a Trainee during a Placement for educational or academic purposes (including thesis or research work) shall remain the intellectual property of the Trainee and/or their academic institution, subject to the Host Institution's confidentiality requirements under Clause 9 and any patient-data restrictions.
(c) Neither Party may use the other Party's proprietary materials, SOPs, or data for commercial purposes without prior written consent.
14. Placement Capacity and Confirmation
This MOU does not guarantee a fixed number of internship seats. Each placement, cohort, department, start date, and capacity will be confirmed separately based on the Host Institution's availability and approval.
The Host Institution may decline or limit a placement where operational, regulatory, safety, capacity, or other legitimate requirements prevent acceptance.
15. Financial and Commercial Terms
This MOU establishes the collaboration framework and does not itself create a fixed fee or payment obligation. Where applicable, trainee fees, institutional charges, number of seats, payment schedule, refunds/cancellations, supervisor honorarium, or other commercial terms will be documented separately in a written Commercial Terms / Service Schedule approved by the Parties.
Any internal revenue allocation among InfoSmashers personnel or contributors is an internal matter of InfoSmashers and is not part of this MOU.
Any Commercial Terms Schedule (Annexure D) involving institutional fee collection or seat billing shall take effect upon mutual execution and central executive validation by InfoSmashers management.
16. No Employment Relationship
Participation in an internship under this MOU does not guarantee employment, hiring, remuneration, or future engagement by the Host Institution or InfoSmashers. Any subsequent employment or paid engagement must be separately agreed by the relevant parties.
17. Certificates and Completion Records
Where agreed in writing, the Host Institution may provide a completion confirmation or evaluation. InfoSmashers may issue a certificate or verified completion record based on the agreed program requirements.
A certificate confirms educational participation/completion and does not by itself constitute a professional license, employment credential, or regulatory authorization.
18. Focal Persons and Communication
Each Party will nominate a focal person for routine coordination:
| Party | Focal Person | Designation |
|---|---|---|
| InfoSmashers | Rida Fatima | Founding Category Director, Internships & Institutional MOUs |
| Host Institution | [Designated Focal Person] | [Institutional Role] |
19. Non-Exclusivity and Brand Use
This MOU is non-exclusive unless the Parties expressly agree otherwise in a separate written document. Neither Party may use the other Party's name, logo, photographs, or branding for public promotional purposes beyond approved placement communication without prior permission.
20. Term, Termination, Amendments and Survival
This MOU will remain effective for 1 (one) year from the date of signature unless extended, replaced, or terminated earlier by mutual written agreement.
Either Party may terminate this MOU by giving 30 (thirty) days' written notice. Termination will not automatically cancel an active trainee placement; the Parties will coordinate a safe and reasonable conclusion or transition of any ongoing placement.
Any amendment to this MOU must be made in writing and approved by authorized representatives of both Parties.
Clauses 9 (Confidentiality and Information Protection), 11 (Indemnification and Limitation of Liability), 13 (Intellectual Property), and any other clause which by its nature is intended to survive, shall continue in force notwithstanding termination or expiry of this MOU.
21. Notices
Any notice required under this MOU shall be in writing and delivered by hand, courier, registered mail, or email (with confirmation of receipt) to the Focal Person or address notified by each Party in writing. Notices shall be deemed received on the date of delivery, or, if sent by email, on the next business day following transmission unless a delivery failure notice is received.
22. Severability
If any provision of this MOU is held invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the Parties shall negotiate in good faith to replace the invalid provision with a valid one that most closely reflects the original intent.
23. Entire Agreement
This MOU, together with its Annexures, constitutes the entire understanding between the Parties regarding its subject matter and supersedes all prior discussions, representations, or agreements, whether oral or written, except as expressly referenced herein.
24. Governing Law and Dispute Resolution
This MOU shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Courts of competent jurisdiction in Faisalabad, Punjab shall have exclusive jurisdiction over any matter arising from this MOU.
The Parties intend to cooperate in good faith and communicate promptly regarding operational, trainee, safety, or administrative concerns. This MOU records the general framework of collaboration; placement-specific requirements may be documented in the relevant rotation plan, trainee form, waiver, or commercial schedule.
Any dispute arising from the implementation of this MOU will first be addressed through good-faith discussion between the designated focal persons and authorized representatives. If unresolved, the Parties may pursue mediation or arbitration as separately agreed, failing which the courts specified above shall have jurisdiction.
